Affiliate Program Terms & Conditions (FirstPromoter)

This Affiliate Program Agreement (the "Agreement") is entered into by and between LEXIVANTA LIMITED ("Company", "we", "us", or "our"), a company incorporated in the Republic of Cyprus, and you ("Affiliate", "you", or "your"), who wish to participate in our affiliate program managed via the FirstPromoter tracking platform.

By applying to be an Affiliate or by participating in the Program, you agree to be bound by the terms and conditions set forth in this Agreement, as well as our general Terms of Service and Privacy Notice.

1. Enrollment and Account

1.1 Application: To begin the enrollment process, you must complete and submit the online application via our affiliate dashboard. We reserve the right to reject any application at our sole discretion.

1.2 Eligibility: You must be at least 18 years of age to participate. By applying, you warrant that all information provided is accurate and current.

1.3 Platform: We use FirstPromoter, a third-party service, to track referrals and calculate commissions. You must maintain an active account on the platform and comply with their respective technical requirements.

2. Affiliate Obligations and Restrictions

2.1 Promotion: You may promote WinkMe.ai using your unique referral link. You agree to act in a professional and lawful manner at all times.

2.2 Prohibited Activities: You are strictly prohibited from:

• Promoting WinkMe.ai on websites that contain illegal materials, promote violence, or advocate discrimination.
• Using "spam" or unsolicited commercial emails.
• Bidding on trademarked keywords (e.g., "WinkMe", "WinkMe.ai") in search engine marketing (SEM) or PPC campaigns without prior written consent.
• Creating the impression that your website is the official WinkMe.ai website or operated directly by LEXIVANTA LIMITED.

2.3 AIGC Compliance: As we are an AI-generated content platform, you must not use our assets to create or promote content involving minors, non-consensual imagery, or any other material prohibited by our internal safety policies.

3. Commissions and Payments

3.1 Commission Rate: Commissions are calculated based on the net sales (excluding taxes, refunds, and chargebacks) generated through your unique referral link. The specific rate is outlined in your dashboard.

3.2 Tracking: Referral tracking is handled by the platform using cookies and/or postbacks. We are not responsible for tracking failures caused by the user’s browser settings or technical misconfigurations on the affiliate's end.

3.3 Payout Schedule: Commissions are typically paid 30 days after the end of the month in which they were earned, provided the minimum payout threshold is met.

4. Termination

4.1 Termination at Will: Either party may terminate this Agreement at any time, with or without cause, by giving the other party notice via the platform or email.

4.2 Termination for Breach: We reserve the right to terminate your account immediately and forfeit any unpaid commissions if you breach any terms of this Agreement or our general Policies.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from this Agreement shall be referred to and finally resolved by the competent courts of the Republic of Cyprus.
